                              " AMENDMENT TO LEASE "

This is amendment to that certain Lease dated ______________
"the (Lease") by and between________________("Lessor") and
________________ ("Lessee")

WHEREAS, the parties wish to amend certain terms of Lease, and

WHEREAS, certain capitalized terms not otherwise defined herein are
defined in the Lease.

THEREORE, the parties agree as follows :

1."Non-compete Clause" will take effect immediately and identical items
  will not be permitted to be sold within Lessor's properties.

2. Rate of the Rent will not increase untill the end of the Lease term.

3. This Amendment, together with Lease constitutes final complete and
    exclusive statement of agreement between the parties pertaining to
    their subject matter and supersedes any and all prior and
    contemporaneous understandings or agreements of the parties.
